Terms of Service

Welcome to SEOSOLUTIONZ (“Agency,” “we,” “us,” or “our”). These Terms and Conditions (“T&C”) govern the contractual engagement for the provision of our digital marketing Services, including Search Engine Optimization (SEO), Social Media Marketing (SMM), and related consulting, operated  by MOTIVERSEGLOBAL LLC throughhttps://seosolutionz.org/.

By entering into a Service Agreement, accepting a Proposal, or making a payment for Services, you (“Client,” “you,” or “your”) agree to be bound by these T&C.

1. Introduction and Acceptance

These T&C apply to all Clients of SEOSOLUTIONZ. By engaging our Services, you confirm that you are at least 18 years old and legally capable of entering into a binding contract.

2. Service Scope and Engagement

  • Service Definition: The specific services, deliverables, timeframes, and fees will be formally defined in a separate Service Agreement, Proposal, or Statement of Work (SOW) (“Engagement Document”). The Engagement Document shall always take precedence over these general T&C.

  • Client Authority: The Client represents that they have the full authority to enter into this agreement and authorize the Agency to act on their behalf to perform the Services (e.g., accessing website backend, social media accounts, advertising platforms).

  • Client Cooperation: The Client agrees to provide timely access to necessary data, accounts, content approvals, and feedback. Delays caused by the Client may result in timeline extensions or suspension of Services without refund.

3. Payment and Subscriptions

  • Fees: The Client agrees to pay all fees outlined in the Engagement Document.

  • Billing & Due Date: All recurring Services are billed [Monthly/Quarterly] in advance. Payment is due [e.g., within 7 days of the invoice date / on the 1st of the month].

  • Late Payment: Payments overdue by fifteen (15) days will incur a late fee of [e.g., 1.5% per month or the maximum rate permitted by law], and may result in the immediate suspension of Services until the balance is paid.

4. Service Commitment and Cancellation Policy

  • Minimum Commitment: Services typically require a minimum commitment period of three (3) months as defined in the SOW, necessary to establish and measure performance in digital marketing.

  • Cancellation: After the minimum commitment period, the Client may cancel the Service by providing written notice thirty (30) days prior to the next billing cycle.

  • Early Termination: Cancellation by the Client before the end of the minimum commitment period will require the immediate payment of a final invoice equivalent to [e.g., 50% of the remaining fees] or as specified in the SOW.

5. Service Disclaimers and Refund Policy

  • No Performance Guarantees: Due to the dynamic nature of digital marketing, SEOSOLUTIONZ cannot guarantee specific search engine rankings, traffic levels, lead volumes, or sales revenue. Our performance is subject to third-party factors (e.g., algorithm updates, platform policy changes).

  • Refunds: Fees paid are for the provision of labor, expertise, and strategic execution of the agreed-upon Services. As such, fees are generally non-refundable. No refunds will be issued for:

    • Completed Service work or time already expended.

    • Accounts terminated due to Client violation of these T&C.

  • Exceptions: If the Agency is demonstrably unable to provide the labor specified in the SOW, a pro-rated refund for the unfulfilled portion may be issued at the Agency’s sole discretion.

6. Intellectual Property (IP) and Ownership

  • Client Ownership: Upon full and final payment, the Client retains all intellectual property rights and ownership over all Deliverables created specifically for the Client under the SOW (e.g., blog posts, social media graphics, custom reports).

  • Agency Tools: SEOSOLUTIONZ retains all IP rights to its proprietary tools, methodologies, general know-how, and templates used internally to deliver the Services.

7. Termination

  • SEOSOLUTIONZ reserves the right to suspend or terminate the Services and your account at our sole discretion if you violate these T&C, fail to make timely payments, or engage in conduct we deem harmful to our reputation or operations. Upon termination, all outstanding fees become immediately due.

8. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied. We make no warranty that the Services will meet your specific business objectives or achieve specific financial outcomes.

9. Limitation of Liability

To the fullest extent permitted by law, SEOSOLUTIONZ (including its employees and contractors) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your engagement with the Services. In all cases, the Agency’s total liability shall not exceed the total fees paid by the Client to the Agency for the Service period immediately preceding the date the claim arose.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the New Mexico where SEOSOLUTIONZ is legally registered, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New Mexico.

11. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which details our data collection and usage practices

12. Changes to Terms and Contact

We reserve the right to update or modify these T&C at any time. We will notify Clients of material changes via email or via notice on the website. Continued use of the Services after notification constitutes acceptance of the revised Terms.
